Mindify Terms of Use

1. About Mindify

Mindify is a digital coaching tool that uses artificial intelligence to provide guidance, reflection, and conversation around personal, relational, and professional situations.

Mindify is not a substitute for professional therapy, psychiatric care, medical advice, legal advice, or financial advice. If you are in crisis or need urgent support, please contact a qualified professional or your local emergency services.

2. Eligibility

You must be at least 16 years old to use Mindify. By using the app, you confirm that you meet this age requirement and that you have the legal capacity to enter into these Terms of Use.

3. Your Account

You can use Mindify with or without an account. If you choose to create one, you are responsible for keeping your login credentials confidential and for any activity that takes place under your account.

You agree to provide accurate information during sign-up and to notify us promptly if you suspect unauthorised access to your account.

4. Subscriptions, Pricing, and Billing

Mindify offers auto-renewable subscriptions across different tiers (currently Plus, Lite, and Mini). The features and message limits of each tier are shown in the app at the time of purchase.

Subscriptions are billed through the platform you use to purchase them:

• On iOS, payment is processed through your Apple Account.
• On Android, payment is processed through Google Play.
• On the web, payment is processed through Stripe.

Your subscription will automatically renew at the end of each billing period at the standard renewal price shown in the app, unless you cancel at least 24 hours before the end of the current period. The amount, currency, and renewal frequency are clearly displayed on the subscription screen before you confirm purchase.

You can manage or cancel your subscription at any time:

• On iOS: through your Apple Account settings.
• On Android: through your Google Play account.
• On the web: through your Mindify account settings.

5. Free Trials

Mindify may offer a free trial period (currently 5 days) before paid billing begins. The duration of the trial and the price you will be charged after it ends are clearly shown before you start the trial.

If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the standard renewal price.

Any unused portion of a free trial is forfeited if you purchase a paid subscription before the trial ends.

6. Refunds

Refunds for purchases made through Apple's App Store or Google Play are handled directly by Apple or Google according to their respective refund policies. We do not have the technical ability to process refunds for purchases made through these platforms.

For purchases made through our website (Stripe), please contact us using the details below to request a refund. We will review such requests in line with applicable consumer protection law.

Where you are a consumer based in the European Union, your statutory rights under EU consumer law are not affected by this section.

7. Acceptable Use

You agree to use Mindify in good faith and only for lawful, personal purposes. You agree not to:

• Use the app for any illegal activity, harassment, or abuse of others.
• Attempt to reverse engineer, decompile, or extract the underlying source code or AI prompts of the app.
• Use automated tools, scripts, bots, or scraping to interact with the app.
• Resell, redistribute, or commercially exploit any part of the app or its output without our written permission.
• Submit content that infringes the rights of others, including privacy or intellectual property rights.

We reserve the right to suspend or terminate accounts that we reasonably believe are in breach of these rules.

8. AI-Generated Content and Its Limitations

Mindify uses an AI service (provided by Anthropic) to generate coaching responses. AI output can be incomplete, inaccurate, or inconsistent, and may not fully reflect the nuance of your situation.

You should not rely on Mindify as your sole source of guidance. Carefully evaluate any advice, especially for high-stakes personal, relationship, professional, medical, legal, or financial decisions, and seek qualified professional support where appropriate.

9. Intellectual Property

The Mindify app, its design, brand, source code, system prompts, and all content created by us are owned by Zedvisory and protected by intellectual property laws.

You retain ownership of the personal content you submit to the app (your messages and inputs). By submitting content, you grant us a limited, non-exclusive licence to process that content solely for the purpose of providing the coaching service to you, including transmission to our AI processor as described in our Privacy Policy.

10. Privacy

Your use of Mindify is also governed by our Privacy Policy, which explains what data we collect, how we use it, and how it is shared with our service providers.

11. Termination

You can stop using Mindify at any time and may delete your account from the Settings screen, which permanently removes your associated data from our systems as described in our Privacy Policy.

We may suspend or terminate your access to Mindify if you breach these Terms, if required by law, or if continued service to your account is no longer commercially or operationally viable. Where possible, we will give you reasonable notice.

12. Disclaimers

Mindify is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we do not warrant that the app will be uninterrupted, error-free, secure, or that the AI-generated content will be accurate, reliable, or fit for any particular purpose.

Nothing in this section limits any rights you have as a consumer that cannot be limited or excluded under applicable law, including under the laws of the European Union.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Zedvisory and its directors, employees, and contractors will not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with your use of Mindify, including any reliance on AI-generated content.

Where liability cannot lawfully be excluded, our total liability to you for any claim arising under these Terms is limited to the amount you have paid us for the Mindify service in the twelve (12) months preceding the event giving rise to the claim.

Nothing in this section limits liability for fraud, gross negligence, or any other liability that cannot be limited under applicable law.

14. Apple App Store Provisions

If you obtained Mindify through the Apple App Store, the following additional terms apply, and prevail over any conflicting provision elsewhere in these Terms:

• These Terms of Use are entered into between you and Zedvisory only, and not with Apple Inc. ("Apple"). Zedvisory, not Apple, is solely responsible for Mindify and its content.
• Apple has no obligation to provide any maintenance or support services for Mindify.
• In the event of any failure of Mindify to conform to any applicable warranty, you may notify Apple, and Apple will refund the applicable purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation in respect of the app.
• Zedvisory, not Apple, is responsible for addressing any claims relating to Mindify, including (but not limited to) product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
• If a third party claims that Mindify or your use of it infringes that party's intellectual property rights, Zedvisory, not Apple, is responsible for the investigation, defence, settlement, and discharge of any such claim.
• You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

15. Changes to These Terms

We may update these Terms of Use from time to time. If we make material changes, we will let you know through the app or by email before the changes take effect. Your continued use of Mindify after the changes become effective means you accept the updated Terms.

16. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of the Netherlands, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms will be submitted to the competent courts of the Netherlands.

If you are a consumer based in the European Union, you may also bring a claim in the courts of your country of residence, and you retain the protections of mandatory consumer law in your country of residence.
